These Terms of Service ("Terms") govern your access to and use of Seshat AI ("Seshat," "Platform," "Service"), an educator-facing Socratic reasoning and critical-thinking support platform operated by Thot Cursus Inc. ("Company"). By creating an account or using Seshat AI, you agree to these Terms.

1. Purpose of Seshat AI

Seshat AI is designed to support educators in preparing and delivering critical-thinking educational experiences.

The Platform helps educators:

  • Prepare critical-thinking classes and lesson plans

  • Generate Socratic discussion questions

  • Create educational activities

  • Explore multiple perspectives on complex topics

  • Analyze student reasoning and written work

  • Develop teaching materials grounded in the Thot Cursus corpus

Seshat AI is an educational support tool. It does not replace teachers, educators, or professional academic judgment.

2. Eligibility and Account Use

Seshat AI accounts are intended for educators and authorized educational users.

By creating an account, you confirm that:

  • You are authorized to use the Platform for educational purposes

  • The information you provide is accurate

  • You will maintain the confidentiality of your account credentials

  • You will use the Platform in accordance with these Terms and applicable laws

Students do not create accounts or independently access Seshat AI.

Any future student-facing functionality, if developed, would be governed by additional policies, safeguards, and terms appropriate to that use case.

3. Teacher Responsibility and Human Oversight

Educators remain responsible for:

  • Selecting appropriate educational activities

  • Reviewing AI-generated content

  • Determining how materials are used in classrooms

  • Ensuring student information is handled appropriately

  • Making final academic judgments

Seshat AI does not:

  • Assign official grades autonomously

  • Make decisions about student advancement

  • Determine academic outcomes

  • Replace educator review

Any assessment-related output generated by Seshat AI is intended as draft assistance for educator review.

Educators retain full responsibility for final grading, feedback, and academic decisions.

4. Student Information and Educational Content

Educators may submit educational materials, including:

  • Student essays

  • Homework responses

  • Assignments

  • Teacher-created materials

  • Classroom resources

Educators represent that they have the appropriate authority to submit such information.

Seshat AI is designed for curriculum-based educational reasoning activities, including:

  • Critical thinking

  • Argumentation

  • Socratic discussion

  • Analysis of ideas and perspectives

Educators should avoid submitting unnecessary personal information, including:

  • Health information

  • Private family information

  • Sensitive personal narratives

  • Information unrelated to the educational purpose

5. Privacy and Legal Responsibilities

Seshat AI is designed to support educators and institutions in meeting their obligations under applicable privacy laws, including FERPA, COPPA where applicable, GDPR, and other student privacy and data protection regulations.

Educational institutions and educators remain responsible for determining:

  • Their applicable legal obligations

  • Required notices or permissions

  • Appropriate use of the Platform within their educational context

Use of Seshat AI does not by itself guarantee compliance with all laws applicable to a particular institution or jurisdiction.

6. Ownership of Educational Content

Educators and their institutions retain ownership of educational content they submit to Seshat AI.

This includes:

  • Student assignments submitted by authorized educators

  • Teacher-created materials

  • Institutional educational resources

Seshat AI does not claim ownership of customer educational content. By using the Platform, educators grant Seshat AI a limited license to process submitted content solely to:

  • Provide requested services

  • Generate educational outputs

  • Maintain Platform functionality

  • Improve security and reliability

  • Operate and improve Seshat AI in accordance with applicable privacy commitments

7. Thot Cursus Corpus and Seshat Materials

The Thot Cursus corpus, including its articles, educational frameworks, structures, and associated intellectual property, remains the property of its respective owners.

Seshat AI may provide access to educational materials, reasoning frameworks, and generated outputs based on the Thot Cursus corpus.

Users may use generated educational materials for classroom and teaching purposes.

Users may not:

  • Extract or reproduce the Thot Cursus corpus

  • Use the corpus to create competing databases

  • Redistribute proprietary materials without authorization

8. Artificial Intelligence Outputs

Seshat AI uses artificial intelligence to generate educational assistance.

Users understand that AI-generated outputs:

  • May contain errors

  • May require correction

  • Should be reviewed before classroom use

  • Are not guaranteed to be complete or accurate

Educators are responsible for evaluating whether AI-generated content is appropriate.

Seshat AI does not autonomously assign grades or make final academic decisions.

Any assessment-related output is intended as draft assistance for educator review.

9. AI Improvement and Model Development

Seshat AI is continuously improved to provide better educational reasoning capabilities.

Seshat AI does not use identifiable student information to train general-purpose AI models.

Where permitted by law and consistent with applicable agreements, Seshat AI may use:

  • Anonymized educational content

  • Aggregated information

  • Synthetic data

  • Other non-identifiable datasets

to improve:

  • Platform performance

  • Educational quality

  • AI safety

  • Model evaluation

  • Future Seshat AI capabilities, including potential fine-tuning

Such information is processed in a manner designed to prevent identification of individual students or educators.

Where an institution has entered into a separate data processing agreement with Seshat AI, the terms of that agreement govern data use for that institution's users and supersede this Section 9 to the extent of any conflict.

10. Third-Party AI Services

Seshat AI uses third-party technology providers to provide certain Platform functionality.

The AI providers used by Seshat AI may include OpenAI and other providers selected by Seshat AI from time to time.

Under the applicable business, API, or enterprise terms of the AI providers used by Seshat AI, customer content submitted through such services is not used to train those providers' models by default.

Submitted information may be processed by third-party providers only as necessary to provide requested services and subject to applicable contractual protections.

If Seshat AI changes AI providers or materially changes its data-processing practices, users will be informed through updated policies or agreements as appropriate.

Seshat AI may change, add, or remove technology providers, hosting providers, AI providers, or infrastructure providers as the Platform evolves, provided such changes remain subject to applicable privacy commitments.

11. Account Management and Deletion

Users may:

  • Delete their account

  • Request deletion of stored information

  • Update certain account information

Deletion requests may be subject to:

  • Legal obligations

  • Security requirements

  • Backup retention procedures

Seshat AI may retain limited information where necessary to:

  • Comply with legal obligations

  • Resolve disputes

  • Enforce agreements

  • Maintain security

  • Complete legitimate business operations

12. Subscription Plans, Billing, Renewal, and Commercial Terms

Subscription Plans

Seshat AI may offer free, paid, promotional, educator, institutional, or other subscription plans.

Features, usage limits, pricing, and available functionality may vary depending on the selected plan.

Current pricing and plan details are presented at the time of purchase or subscription.

Seshat AI may modify available plans, features, or pricing from time to time.

Free Access and Free Trials

Seshat AI may provide free access tiers, trial periods, promotional offers, or limited-use plans.

The duration, eligibility requirements, available features, and conditions of any free trial or promotional offer will be communicated at the time the offer is made.

Unless otherwise expressly disclosed during enrollment, participation in a free trial does not automatically authorize future charges without the user's consent.

Seshat AI reserves the right to modify or discontinue free trials or promotional programs at any time.

Paid Subscriptions

Certain features of Seshat AI require a paid subscription.

By purchasing a subscription, the user authorizes Seshat AI and its payment providers to charge the applicable subscription fees and taxes using the selected payment method.

Subscription fees are billed in advance according to the billing period selected at the time of purchase.

All fees are stated in the currency displayed at checkout unless otherwise specified.

Automatic Renewal

Unless otherwise stated at the time of purchase, paid subscriptions automatically renew at the end of each billing period.

The subscription will continue until cancelled by the user or terminated in accordance with these Terms.

Renewal charges will be applied using the payment method associated with the user's account.

Users are responsible for maintaining accurate payment information.

Cancellation

Users may cancel a paid subscription at any time through their account dashboard, Stripe customer portal, or other self-service account-management tools provided by Seshat AI.

Cancellation prevents future renewal charges but does not automatically entitle the user to a refund for the current billing period unless required by applicable law.

Access to paid features may continue until the end of the active subscription period.

Seshat AI provides cancellation mechanisms that are designed to be clear, accessible, and reasonably comparable to the subscription sign-up process.

Refunds

Except where required by applicable law, subscription fees are non-refundable.

Refund requests may be reviewed on a case-by-case basis.

Nothing in these Terms limits any mandatory consumer rights that cannot be waived under applicable law.

Payment Processing

Payments are processed through Stripe, Inc. ("Stripe"), an authorized third-party payment service provider.

Seshat AI does not store complete payment-card information on its own systems.

Stripe may collect, process, and store payment-related information in accordance with its own terms and privacy practices.

Payment processing is subject to Stripe's applicable terms, conditions, and privacy policies.

By purchasing a subscription, users authorize Stripe to process payments on behalf of Seshat AI according to the selected subscription plan.

Seshat AI is not responsible for errors, outages, or service interruptions attributable to third-party payment providers.

Users are responsible for maintaining accurate billing and payment information associated with their account.

Taxes

Subscription fees may be subject to applicable taxes, including:

  • Sales tax

  • Value-added tax (VAT)

  • Goods and services tax (GST)

  • Harmonized sales tax (HST)

  • Similar taxes depending on the user's location

Where required by law, Seshat AI and its payment providers may calculate, collect, and remit applicable taxes at the time of purchase.

Users remain responsible for taxes that are not required to be collected by Seshat AI.

Tax amounts displayed during checkout may vary based on billing address, jurisdiction, and applicable legal requirements.

Price Changes

Seshat AI may modify subscription pricing, features, or plan structures from time to time.

Where required by law, or where commercially reasonable, users will receive advance notice before a price change affecting an existing subscription becomes effective.

Continued use of the paid service after a pricing change takes effect constitutes acceptance of the updated pricing.

Failed Payments

If a payment cannot be successfully processed, Seshat AI may:

  • Retry the payment

  • Notify the user

  • Temporarily restrict access to paid features

  • Suspend or terminate the subscription

Access to paid features may be restored once outstanding payment obligations have been satisfied.

13. Institutional Deployments

Seshat AI is available to individual educators and may also support institutional deployments.

Seshat AI currently operates through a shared platform architecture.

Institutional deployments may require additional configuration, contractual arrangements, or technical controls depending on institutional requirements.

Seshat AI expects to continue evolving its institutional architecture as institutional deployments expand.

Additional agreements may address:

  • Data processing responsibilities

  • Security requirements

  • Institutional policies

  • Deployment requirements

  • Billing and procurement arrangements

Where a separate written agreement exists between an institution and Seshat AI, the terms of that agreement will govern in the event of a conflict with these Terms.

If User is a Florida public school district, state college or university, or other Florida government entity, any indemnification, liability, or payment-obligation provision in these Terms applies only to the extent permitted under Section 768.28, Florida Statutes, and other applicable law governing sovereign immunity and public funds.

14. Acceptable Use

Users agree not to use Seshat AI to:

  • Upload unlawful content

  • Violate privacy rights

  • Upload information they are not authorized to process

  • Attempt to compromise platform security

  • Reverse engineer the Platform

  • Extract proprietary educational content for unauthorized purposes

  • Circumvent usage limits or security controls

Users are responsible for ensuring that their use of Seshat AI complies with applicable laws, institutional policies, and professional obligations.

15. Service Availability

Seshat AI may modify, improve, suspend, or discontinue features as the Platform evolves.

The Company will make reasonable efforts to maintain reliable access but does not guarantee uninterrupted availability.

Maintenance, updates, security measures, technical issues, or circumstances outside Seshat AI's reasonable control may temporarily affect availability.

16. Intellectual Property

All rights in:

  • Seshat AI software

  • Platform architecture

  • AI workflows

  • Proprietary educational frameworks

  • Thot Cursus integration methods

remain owned by Seshat AI or its licensors.

Except as expressly permitted, users may not:

  • Copy

  • Modify

  • Distribute

  • Reverse engineer

  • Commercially exploit

these elements.

Nothing in these Terms transfers ownership of Seshat AI intellectual property to users.

17. Educational Responsibility and Limitations

Seshat AI provides educational assistance only.

The educator remains responsible for:

  • Teaching decisions

  • Curriculum alignment

  • Classroom activities

  • Student evaluation

  • Academic judgments

Seshat AI is not a substitute for professional educational judgment.

Seshat AI does not make autonomous decisions regarding:

  • Student advancement

  • Academic status

  • Educational outcomes

18. Warranty Disclaimer and Limitation of Liability

PLEASE READ THIS SECTION CAREFULLY, AS IT LIMITS SESHAT AI'S LIABILITY TO YOU. SESHAT AI IS PROVIDED AS AN EDUCATIONAL SUPPORT PLATFORM DESIGNED TO ASSIST EDUCATORS. THE PLATFORM, INCLUDING AI-GENERATED OUTPUTS, EDUCATIONAL SUGGESTIONS, AND RELATED MATERIALS, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SESHAT AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF:

  • ACCURACY

  • RELIABILITY

  • FITNESS FOR A PARTICULAR PURPOSE

  • NON-INFRINGEMENT

  • UNINTERRUPTED AVAILABILITY

  • SUITABILITY FOR A PARTICULAR EDUCATIONAL OR INSTITUTIONAL PURPOSE

SESHAT AI DOES NOT GUARANTEE THAT:

  • AI-GENERATED CONTENT WILL ALWAYS BE ACCURATE, COMPLETE, OR ERROR-FREE

  • EDUCATIONAL MATERIALS WILL PRODUCE SPECIFIC LEARNING OUTCOMES

  • THE PLATFORM WILL ALWAYS OPERATE WITHOUT INTERRUPTION

  • THE PLATFORM WILL SATISFY EVERY INSTITUTION'S REQUIREMENTS

USERS ACKNOWLEDGE THAT EDUCATORS REMAIN RESPONSIBLE FOR REVIEWING AI-GENERATED OUTPUTS AND DETERMINING THEIR APPROPRIATENESS BEFORE CLASSROOM USE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SESHAT AI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS SHALL NOT BE LIABLE FOR:

  • INDIRECT DAMAGES

  • CONSEQUENTIAL DAMAGES

  • LOSS OF PROFITS

  • LOSS OF EDUCATIONAL OPPORTUNITIES

  • LOSS OF DATA

  • BUSINESS INTERRUPTION

  • DAMAGES ARISING FROM RELIANCE ON AI-GENERATED OUTPUTS

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SESHAT AI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY THE USER TO SESHAT AI DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED US DOLLARS (US $100).

NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT LEGALLY BE LIMITED UNDER APPLICABLE LAW.

19. Suspension and Termination

Seshat AI may suspend or terminate access to the Platform where necessary to:

  • Protect security

  • Prevent misuse

  • Address violations of these Terms

  • Comply with legal obligations

Users may stop using the Platform at any time.

Termination does not affect rights or obligations that by their nature should continue after termination, including:

  • Intellectual property rights

  • Payment obligations

  • Confidentiality obligations

  • Limitation of liability provisions

20. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the use of Seshat AI shall be resolved exclusively through the state or federal courts located in Miami-Dade County, Florida, unless otherwise required by mandatory consumer protection laws.

TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY IRREVOCABLY WAIVES ITS RIGHT TO A JURY TRIAL IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

TO THE FULLEST EXTENT PERMITTED BY LAW, ANY PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

Nothing in these Terms limits rights that consumers may have under mandatory laws applicable in their jurisdiction, including any jurisdiction where a jury trial waiver or class action waiver is not enforceable.

21. Changes to These Terms

Seshat AI may update these Terms to reflect:

  • Product evolution

  • Legal requirements

  • Security improvements

  • Operational changes

Material changes will be communicated through appropriate channels where required by law.

Continued use of the Platform after changes become effective constitutes acceptance of the updated Terms.
